These terms are an agreement between you and PVT Studio LLC ("notedesk", "we", "us"), which provides the notedesk studio management service at notedesk.studio (the "Service"). By creating an account or using the Service, you agree to these terms. If you use the Service for a business, you agree on behalf of that business.
1. Who these terms are for
- Studios. A teacher or business that signs up to run a music studio on notedesk (a "Studio"), including the owner and any teachers or staff the owner invites.
- Families and students. Parents, guardians and students who use a portal link a Studio sends them. Families use notedesk because their Studio does. Section 9 covers them.
2. Your account
- You must give accurate sign-up information and keep your password safe. You are responsible for what happens under your account.
- The Studio owner controls the Studio's account, decides who else can sign in, and sets what each teacher or staff member may see and do.
- You must be at least 18 to create a Studio account.
- Tell us right away at support@notedesk.studio if you think someone has used your account without permission.
3. Trial, subscription and renewal
- Trial. A new Studio gets a free trial of 30 days. No card is needed to start it.
- Price. After the trial, the Service costs $15 a month plus $5 a month for each additional teacher, or $150 a year plus $50 a year for each additional teacher, unless a different price is shown when you subscribe. The optional Online lessons add-on costs $10 a month, or $100 a year on a yearly plan, for each teacher you add it to. Taxes may be added where required.
- Automatic renewal. Your subscription renews automatically at the end of each monthly or yearly period, and we charge the card on file for the next period, until you cancel. We show the renewal date and price in Plan & billing.
- Teachers added or removed. Adding a teacher part-way through a period is charged for the rest of that period. Removing one gives a credit toward your next bill. These adjustments are made automatically.
- Canceling. You can cancel at any time in Plan & billing. Canceling stops the next renewal. You keep full access until the end of the period you have paid for.
- Refunds. Payments for the Service are not refundable, including for partial periods. See the Refund Policy.
- Price changes. We will tell you at least 30 days before a price change applies to you. The new price starts at your next renewal after that notice, and you can cancel before it does.
4. When a subscription ends or payment fails
If your trial ends without a subscription, your subscription is canceled, or a payment fails, your Studio becomes read-only. You can still sign in, view and export your records, and families can still open their portal links. You cannot add, change or send anything until you subscribe again. We do not delete a Studio's data because its subscription ended. You can ask us to delete it (see the Privacy Policy).
5. Payments from families (Stripe)
notedesk lets a Studio accept card and bank payments from families through Stripe.
- The Studio connects its own Stripe account. Family payments are charged directly to that account, in the Studio's name, and the money is paid out to the Studio by Stripe. notedesk never holds or receives family payments and takes no fee from them.
- Stripe's processing fees are charged to the Studio's Stripe account. The Studio is responsible for refunds, disputes and chargebacks on its payments, and for its own billing, cancellation and make-up policies with families.
- Payment processing services for Studios on notedesk are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (together, the "Stripe Services Agreement"). By agreeing to these terms or continuing to operate as a Studio on notedesk, you agree to be bound by the Stripe Services Agreement, as it may be modified by Stripe from time to time. As a condition of notedesk enabling payment processing services through Stripe, you agree to provide notedesk accurate and complete information about you and your business, and you authorize notedesk to share it and transaction information related to your use of the payment processing services provided by Stripe.
- If a Studio sets up automatic payments, the Studio is responsible for getting the family's authorization. notedesk collects the family's agreement to the bank debit mandate through Stripe when they save a bank account.
6. Your Studio's data
- You own it. The information you and your families put into notedesk, such as students, families, lessons, notes, files, invoices and messages ("Studio Data"), belongs to your Studio.
- We use it only to run the Service for you: to store it, show it to the people you allow, send the messages you ask us to send, process payments you set up, keep the Service secure, and fix problems. We do not sell it, and we do not use it for advertising.
- You are responsible for having the right to use it. Before adding someone's information or sending them messages, the Studio must have a proper reason and any consent the law requires. That includes a parent's or guardian's consent for a child's information (see the Privacy Policy, "Children").
- Exports. You can export records from the Service's screens (for example students, families, invoices and reports) as CSV or PDF files.
7. Messages you send through notedesk
notedesk sends emails (and, when enabled, text messages) on the Studio's behalf: reminders, invoices, lesson notes, portal links, announcements and similar. The Studio is the sender of these messages and is responsible for their content and for following the laws that apply to them, including anti-spam and text-messaging consent rules. Announcements and reminders include an unsubscribe link, and we honor it. We may limit how many messages a Studio sends per day and stop sending to addresses that bounce or complain.
8. Acceptable use
You agree not to:
- break the law, or use the Service to harass, deceive or harm anyone;
- upload anything you do not have the right to share, or anything containing malware;
- try to reach data that is not yours, test or break our security, or overload the Service;
- copy, resell or reverse engineer the Service, or use it to build a competing product;
- send spam or messages people have not agreed to receive.
We may suspend an account that breaks these rules or puts other users at risk. Where it is reasonable, we will tell you first and give you a chance to fix it.
9. Families and students
If your Studio sends you a portal link, you can use it to see your lessons, practice, billing and messages from that Studio. Your Studio decides what the portal shows and is responsible for its own lessons, prices, policies and refunds; please contact your Studio about those. Keep your portal link private, because anyone with it can open your portal. Ask your Studio to send a new link if you think it has been shared.
10. Our service
- We work to keep notedesk available, secure and accurate, and we fix problems we find. But the Service is provided "as is" and "as available", and we do not promise it will be uninterrupted or error free.
- You are responsible for checking the figures notedesk calculates before relying on them, for example invoices, balances, payroll and tax amounts. notedesk is not accounting, tax or legal advice.
- We may change or improve the Service. If we remove a feature you rely on in a way that materially reduces the Service, we will tell you in advance where we reasonably can.
11. Liability
To the fullest extent the law allows:
- neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data, even if told they were possible; and
- our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the claim.
Some places do not allow these limits, so they may not all apply to you.
You agree to cover our reasonable costs from claims by others arising from your Studio Data, the messages you send, your dealings with your families, or your breach of these terms.
12. Ending this agreement
You can stop using the Service and cancel at any time. We can end this agreement with 30 days' notice, or immediately if you seriously break these terms. When it ends, sections 5 (for payments already made), 6, 11, 12 and 14 continue to apply.
13. Changes to these terms
We may update these terms. If a change is material, we will tell Studio owners by email or in the Service at least 30 days before it takes effect. Continuing to use the Service after that means you accept the new terms.
14. Law and disputes
These terms are governed by the laws of the State of California, without regard to its conflict of law rules. Any dispute will be handled in the state or federal courts located in Los Angeles County, California, and both parties agree to that jurisdiction. Before starting a formal dispute, please contact us so we can try to resolve it informally.
